Welcome to Tavolo! These Terms and Conditions ("Terms") govern your access to and use of the Tavolo software and services ("Service"). By using our Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Service.

Acceptance of Terms

By accessing or using Tavolo, you agree to these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Eligibility

To use Tavolo, you must:

  • Be at least 18 years old or the legal age of majority in your jurisdiction.
  • Have the legal capacity to enter into a binding contract.
  • Provide accurate and complete registration information.

If you are accessing Tavolo on behalf of a business, you must have authorization from that business to agree to these Terms on its behalf.

Account Registration

To access certain features of the Service, you must create an account. When registering for an account, you agree to provide accurate and complete information and to update such information if it changes.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect unauthorized use of your account, you must notify us immediately.

License to Use the Service

Subject to your compliance with these Terms, Tavolo grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for your internal business purposes.

You may not:

  • Modify, copy, or create derivative works of the Service.
  • Distribute, sublicense, or transfer the Service to any third party.
  • Reverse engineer, decompile, or attempt to extract the source code of any part of the Service.
  • Use the Service for any illegal or unauthorized purpose.

Payment and Fees

Certain features of the Service may require payment of fees, including but not limited to subscription plans for email, SMS, video editing, and access to influencer marketing tools. You agree to pay all applicable fees in accordance with the terms set forth at the time of purchase.

  • Billing: Fees are billed on a monthly or annual basis, depending on the subscription plan selected.
  • Refunds: All fees are non-refundable, except as required by law or as otherwise stated in specific terms for certain services.

Changes to Pricing: Tavolo reserves the right to change its pricing and fee structure at any time. You will be notified of any changes in pricing, and such changes will apply at the beginning of your next billing cycle

User Content

You may upload, post, or share content such as videos, photos, messages, and customer data ("User Content") as part of your use of the Service. You retain all ownership rights to your User Content, but by uploading or sharing content, you grant Tavolo a worldwide, royalty-free, non-exclusive license to use, host, store, display, reproduce, modify, and distribute such content solely for the purposes of providing and improving the Service.

You represent and warrant that you have the right to upload or share any User Content you provide and that such content does not violate any third-party rights or applicable laws.

Data Collection and Usage

By using Tavolo, you acknowledge and agree that we may collect and store data from your business, including but not limited to:

Point of Sale (POS) System Data

Customer transactions and preferences.

Order History

Detailed records of your business’ order transactions.

Business Customer Data

Customer names, contact details, and purchase histories.

Website and Branding Data

Data collected from your business website and branding elements.

Prohibited Conduct

You agree not to:

  • Use the Service in any way that violates applicable laws or regulations.
  • Engage in any activity that could interfere with, disrupt, or negatively affect the functioning of the Service.
  • Use the Service to infringe on the intellectual property or privacy rights of others.
  • Upload any viruses, malware, or other harmful code.
  • Attempt to gain unauthorized access to the Service or related systems.

Intellectual Property

All intellectual property rights in and to the Service, including but not limited to software, content, graphics, logos, and designs, are owned by Tavolo or its licensors. These rights are protected by copyright, trademark, and other intellectual property laws.

You are granted no rights to use Tavolo’s intellectual property other than as expressly permitted by these Terms.

Termination

We reserve the right to terminate or suspend your account and access to the Service at our sole discretion, without notice, if we believe that you have violated these Terms, are engaged in fraudulent activity, or for any other reason.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination, including ownership provisions, warranty disclaimers, and limitations of liability, shall survive.

Disclaimer of Warranties

Tavolo provides the Service on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Service, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.

We do not guarantee that the Service will be uninterrupted, error-free, or secure. You use the Service at your own risk.

Limitation of Liability

To the maximum extent permitted by law, Tavolo and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data loss, or business interruption, arising out of or in connection with your use of the Service.

In no event shall our total liability exceed the fees you have paid to us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold Tavolo, its affiliates, officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

Modifications to the Service and Terms

Tavolo reserves the right to modify or discontinue the Service at any time, with or without notice. We may also update these Terms from time to time. When we make significant changes, we will notify you by updating the "Effective Date" at the top of the Terms or through other means of communication.

Your continued use of the Service after any changes to these Terms indicates your acceptance of the updated terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Minneapolis, Minnesota, for any legal matters arising out of or related to these Terms or your use of the Service.

Dispute Resolution

In the event of any dispute or claim arising out of or related to these Terms or the Service, the parties will first attempt to resolve the dispute informally. If the dispute cannot be resolved informally, the parties agree to submit to binding arbitration in Minneapolis, Minnesota, in accordance with the rules of the American Arbitration Association.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Tavolo regarding the use of the Service and supersede all prior agreements or understandings, whether written or oral.
